Terms of Service

Iri is a shared AI service: a private space where the people you share life with talk in one conversation with an AI participant that remembers shared context and takes actions you ask for. These Terms are a binding agreement between you and Invezze LLC (“we”, “us”). By creating an account, joining a space, or using Iri you accept them. If you do not accept them, do not use Iri.

These Terms include an arbitration agreement and a class action waiver in the “Disputes” section, and limits on our liability. Please read them.

Eligibility and accounts

You must be at least 13 to use Iri. If you are under 18 you may use it only with the involvement of a parent or guardian, and only that adult may enter into a paid subscription.
You must be at least 18, or the age of majority where you live, to purchase a subscription and be bound by its payment terms.
Give accurate account information and keep your credentials secure. You are responsible for activity under your account, including messages sent from a phone number you have linked to it.
One person, one account. Do not share an account or let someone else use yours.

Spaces and what other people see

Everything in a space is visible to every member of that space. Messages, lists, photos, files, plans, and everything Iri remembers. That is the product, not a side effect. Only invite people you intend to share all of it with.
The person whose plan carries a space controls who is in it and may remove members. Removing a member does not remove what they already saw, and does not delete content they contributed.
Content contributed by a member remains in the space if that member leaves, so the space stays usable for everyone else.
You are responsible for what you put into a space, including information about other people. Do not add someone else's personal information without a proper basis for doing so.

Subscriptions, billing and auto-renewal

Some features require a paid plan. The person who creates a space pays for it; everyone else in that space participates at no cost and is not charged.

Automatic renewal. Subscriptions are monthly and renew automatically at the then-current price until cancelled. By subscribing you authorise us and our payment processor to charge your payment method on each renewal date without further notice, until you cancel.
Cancelling. You may cancel at any time from Space and plan, or through the billing portal linked there. Cancellation takes effect at the end of the period you have already paid for. You keep access until then.
Upgrades take effect immediately, and the difference for the remainder of the current period is charged at that moment.
Downgrades take effect at the end of the period you have already paid for. You keep the higher plan until then. Nothing is refunded and nothing is credited.
Add-ons (extra spaces, extra seats) are billed monthly alongside your plan and follow the same rules.
Free trials are offered only by code, require a payment method, and convert automatically to a paid subscription at the end of the trial unless cancelled before it ends. The trial length and the price that follows are shown before you confirm.
Price changes. We may change prices. A change will not affect the period you have already paid for, and we will give at least 30 days' notice before it applies to your renewals. Continuing after that is acceptance; if you do not accept, cancel before the change takes effect.
Failed payments. If a payment fails we may retry it and will allow a short grace period. After that, Iri stops responding in your spaces. Your content is not deleted and remains readable — lists, photos, plans, and everything Iri remembers stay available to you.
Taxes. Prices are exclusive of tax unless stated. Applicable sales tax or VAT is calculated and added at checkout by our payment processor.

Refunds

Except where the law of your country or state requires otherwise, payments are non-refundable and we do not provide refunds or credits for partial periods, unused time, or a downgrade made mid-period. Statutory cancellation and withdrawal rights, where they apply to you, are unaffected by this paragraph. If you believe you have been charged in error, contact help@tryiri.com and we will look at it.

Payments are handled by Stripe

Payments are processed by Stripe, which acts as merchant of record for your purchase. We never see or store your card details. Your purchase is also subject to Stripe's own terms, and tax is calculated and remitted by Stripe where it acts in that capacity.

The AI, and what it is not

Iri is an AI assistant. It can be wrong, it can misunderstand, and it can produce information that sounds confident and is not correct. Check anything that matters before relying on it.
Iri does not give medical, legal, financial, tax, or other professional advice, and nothing it says is a substitute for a qualified professional. Do not rely on it for any decision with health, legal, or financial consequences.
Iri takes actions in your space when you ask it to — adding to lists, setting reminders, creating plans, sending messages to your group thread. You are responsible for reviewing those actions.
Content Iri fetches from the web is third-party content. We do not verify or endorse it.
Iri is not an emergency service. Do not use it to report an emergency or to summon help.

Acceptable use

You agree not to use Iri to:

break the law, infringe anyone's rights, or help anyone else do either;
harass, threaten, defame, or abuse anyone, or share intimate or private images of a person without their consent;
store or transmit material that is unlawful, or that sexualises minors in any way;
add a phone number you do not control, or add someone to a group thread who has not agreed to be messaged;
probe, scrape, reverse engineer, overload, or attempt to bypass any limit or security control, or use automated means to access the service;
resell, sublicense, or provide Iri as a service to others, or use it to build a competing product;
attempt to extract our prompts, models, or system instructions, or use outputs to train a competing model.

We may suspend or terminate access for a breach of this section, and for a serious breach we may do so immediately and without notice.

Your content

You keep ownership of everything you put into Iri. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, display, and process your content solely to operate and improve the service for you and the other members of your space, including sending it to the AI providers who generate Iri's responses. This licence ends when the content is deleted, except for copies held in routine backups for a limited period.

We do not sell your content, and we do not use it to train AI models.

Our rights

Iri, its software, design, brand, and content are owned by Invezze LLC and protected by intellectual property law. These Terms grant you a limited, revocable, non-exclusive, non-transferable right to use the service, and nothing else. Feedback you send us may be used without obligation or compensation.

Third-party services

Iri depends on services we do not control, including Apple's iMessage, mobile carriers, our messaging provider, our AI provider, and our payment processor. Their availability, behaviour, and terms are theirs, not ours, and interruptions caused by them are not within our control.

SMS / text messaging program terms

Spaces can optionally enable a group text so Iri participates in a native message thread with the members of the space.

Program description: conversational messages between the members of your space and the Iri assistant — replies, reminders, confirmations of actions you request, and messages other members send to the thread.
Consent: you opt in by entering your own mobile number in the app's settings. Messages begin only after a member of your space starts the group thread.
Message frequency varies based on your space's activity.
Message and data rates may apply.
Stop at any time by removing your number in Settings, by leaving or muting the conversation in Messages, or by replying STOP in the thread, which takes your number off automatically.
Fair use. Iri is priced for the way households actually use it. We may apply reasonable limits to protect the service and other members — for instance where automated or unusually heavy use goes well beyond ordinary household activity. We'll tell you before doing anything that changes what you can do, except where something has to be stopped immediately to keep the service working for everyone.
Carriers are not liable for delayed or undelivered messages.
Mobile numbers and opt-in data are never shared with or sold to third parties for marketing purposes. See our Privacy Policy.

Suspension and termination

You may stop using Iri at any time and delete your account from Settings. We may suspend or terminate your access if you breach these Terms, if your payment fails and is not cured, if we are required to by law, or if continuing would expose us or other users to material risk. Where it is reasonable to do so we will tell you first. On termination your right to use Iri ends; sections that by their nature should survive — content licence for backups, disclaimers, liability limits, indemnity, and disputes — survive.

Service changes and availability

We may change, add, or discontinue features as the product evolves. Iri is provided on an ongoing basis without any guaranteed level of availability, and may be unavailable for maintenance, third-party outages, or reasons outside our control. If we make material changes to these Terms we will surface that in the app and update the date above; continuing to use Iri after that is acceptance.

Disclaimers

IRI IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. To the fullest extent permitted by law we disclaim all warranties, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the service will be uninterrupted, secure, error-free, or that AI output will be accurate, complete, or suitable for any purpose. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this may not apply to you.

Limitation of liability

To the fullest extent permitted by law, Invezze LLC will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, lost goodwill, or business interruption, arising out of or relating to your use of Iri, whether in contract, tort, or any other theory, even if we have been advised of the possibility.

Our total liability for all claims relating to Iri in any twelve month period is limited to the greater of (a) the amount you actually paid us in the twelve months before the event giving rise to the claim, or (b) fifty US dollars.

Nothing in these Terms excludes liability that cannot lawfully be excluded, including for fraud, or for death or personal injury caused by negligence. Some jurisdictions do not allow certain limitations, so parts of this may not apply to you.

Indemnity

You agree to indemnify and hold harmless Invezze LLC and its officers, members, and agents from any claim, loss, liability, and reasonable legal costs arising from your content, your use of Iri, your breach of these Terms, or your violation of anyone's rights — including a claim brought by someone whose information you added to a space.

Disputes

Talk to us first. Before starting any formal proceeding, email help@tryiri.com describing the problem and what you want. We will try in good faith to resolve it within 60 days.

Arbitration. If we cannot resolve it, you and Invezze LLC agree that any dispute arising out of or relating to Iri or these Terms will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. Judgment on the award may be entered in any court with jurisdiction.

Class action waiver. You and Invezze LLC agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any class, consolidated, or representative proceeding. An arbitrator may not consolidate claims or preside over any form of representative proceeding.

Your right to opt out. You may opt out of this arbitration agreement and class action waiver by emailing help@tryiri.com with the subject “Arbitration Opt-Out” within 30 days of first accepting these Terms. Opting out affects nothing else in this agreement.

Small claims and injunctions. Either party may bring a qualifying individual claim in small claims court, and either party may seek injunctive relief in court to protect intellectual property or to stop unauthorised access.

Governing law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of laws rules. Where a dispute is not subject to arbitration, the state and federal courts located in Wyoming have exclusive jurisdiction, and you consent to that jurisdiction. If you are a consumer in a country whose law gives you the protection of your local courts, this paragraph does not remove that right.

General

These Terms and the Privacy Policy are the entire agreement between us about Iri.
If any provision is held unenforceable, the rest stays in force and the unenforceable part is limited to the minimum extent necessary.
Our not enforcing a provision is not a waiver of it.
You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.
Neither party is liable for failure to perform caused by events outside its reasonable control.

Iri is operated by Invezze LLC.
